9.2 Proposed Name of Merged Institution / 9.3 Due Diligence
Designate proposed that a further series
of workshops be arranged with students,
staf and stakeholders in a i nal attempt
to scope potential names.
Specialist naming/branding workshops
were held with students and staf
facilitated by expert consultants during
week commencing 15 February 2010.
In addition, key stakeholders were
interviewed on a 1:1 basis during.
This exercise resulted in a short list of
10 names which were be subject to a
i nal round of market research before
being presented by the Shadow
Board on 24 February 2010.
The selection criteria for the selection
of a new name were that the name:
Should contain Glasgow;
Should contain College;
Should allow for endorsed
sub-branding;
Should appeal to cores stakeholders
(including international stakeholders);
Should rel ect the size and status
of the new College;
Should have "RONSEAL" emotional
and rationale appeal;
Should be easy to remember;
Should be easy to pronounce;
Should stand vernacular abbreviation.

Next Steps
In addition to the Ministerial consultation
and approval process, we will be required
to gain recognition for the New College
as a 'fundable body' by Parliament, the
Host College will notify the Oi ce of the
Charity Commissioner of the possible
and then proposed change of name.
This latter approval is also essential to
maintain the benei t of charity status
for the new College.
Pending both sets of Approvals, the
Shadow Executive will then commission
a corporate Deign Identity, strapline and
prepare a promotional campaign
to launch the new Name and Brand
Identity.
External and internal signage will only
be created once formal Approval is
received (particularly that of the
Cabinet Secretary).
9.3 Due Diligence
Summary
A Due Diligence exercise has been
carried out by each of the three merging
colleges. The Legal Due Diligence was
carried out by the legal i rm Maclay
Murray and Spens and covers the period
up to 21/12/09. The Financial Due
Diligence has been carried out during
January 2010 by the Accountancy i rm
Wyllie + Bisset.
Legal Due Diligence
The Legal Due Diligence (attached as
Appendix 5) reported in an 'exceptions
only' style, highlighting the major issues
material in the context of merger. For the
three merging colleges, there has been
no material obstacles to merger found
in the Due Diligence process, in the
areas of: Commercial Contracts, Property
Contracts, Intellectual Property and IT
Contracts. There are some minor issues
noted regarding alignment of policy
in the areas of Data Protection, Library
Services, Freedom of Information and
Websites which are detailed in the main
Due Diligence Report.
Financial Due Diligence
The Financial Due Diligence Report
reviewed audited accounts at 31 July
2009; management accounts 31 July
2007, 31 July 2008, and 31 July 2009,
projections for year ending 31 July 2010
and held discussions with the senior
management of each college.
The Financial Due Diligence Process
found no impediments to merger.
